BLP has advised Huntsman Corporation, a publicly traded global manufacturer and marketer of specialty and differentiated chemical products with revenues of approximately $8 billion annually, on selling its textile operations in Guatemala as part of a global transaction.

Huntsman Corporation sold its division to Archroma, an SK Capital Partners portfolio company, for S593 million in cash plus assumed pension liabilities.

Huntsman expects after-tax net cash proceeds to be approximately $540 million before customary post-closing adjustments.

The transaction involved a complex local corporate reorganization before the sale of the operations, transforming the company from a limited liability entity to a Limited Liability by Shares entity in an unusual transition that requires a high degree of contractual and notary design.

Partner María Inés Arenales led the BLP team in this complex transaction, supported by attorneys Gustavo Gamboa, Jeaneth Divas, Luis Delgado, and Rubén Fuentes.
