The National Banking and Insurance Commission has approved the Regulations to the Transparency and Centralized Beneficial Ownership Registry Law, marking a key step toward the effective implementation of Honduras’ new corporate transparency framework.

The Regulations set out the rules for identifying beneficial owners, documenting ownership and control chains, filing the corresponding declaration and keeping the information up to date. They also clarify that the ownership test includes 25% or more of the equity or capital of a legal entity or arrangement, including shares, ownership interests, contributions, economic rights and other ownership rights.

The Regulations also establish an electronic filing process, require supporting documentation, confirm the annual update deadline of May 30 and further develop the CNBS’ verification powers and sanctions regime.

Although the Regulations have now been approved, the formal filing process will begin once the CNBS issues the administrative act enabling the platform, forms and filing mechanisms.

This development represents an important step in the modernization of Honduras’ corporate framework and its alignment with international standards on transparency, traceability and compliance.
