BLP advised Evertec in the acquisition of 100% of the share capital of Zunify Payments, Ltd., a company dedicated to the business of financial operations by electronic means, providing a payment network that interconnects consumers, companies, and issuing and acquiring financial institutions, all through the Zunify Platform.
Zunify is a fintech company founded by Costa Ricans in the United States to create a payments network that connects banks, businesses, and users in one place. Zunify now reaches nearly 70,000 personal clients, 1,300 affiliated companies, and eight participating financial entities in Costa Rica, becoming the country’s largest QR code payment network.
BLP advised Evertec throughout the transaction process, including due diligence on Zunify Payments, the drafting of the SPA and ancillary contracts, and the closing of the acquisition. BLP continues to advise the client on day-to-day operations. Under the announced agreement, Evertec will assume the client portfolio, financial permissions, and license to use Zunify’s technology in the country.
This complex transaction involved the purchase of Zunify shares and contract negotiations related to the transaction. With this acquisition, Evertec continues to expand and strengthen its regional presence, a step that strengthens Evertec’s position in the dynamic digital payments market, since it allows the integration of services at the level of financial institutions, and expands the services provided.
