  • Avianca financial restructuring process. BLP advised Latin American airline Avianca during the restructuring process to obtain short-term financing and eliminate more than $1 billion in liabilities. In October 2021, the airline received court approval of its restructuring plan in New York. The financing plan was recognized as Deal of the Year by Latin Finance and Latin Lawyer.
  • The largest green bond placement in Central America and the Caribbean by a 100% renewable energy company. BLP in Costa Rica advised Citigroup Global Markets Inc. and J.P. Morgan Securities LLC on the issuance by Investment Energy Resources Limited of $700 million in 6.25% Fixed Rate Secured Notes maturing in 2029.
  • Grupo Unicomer on a syndicated loan for US$350 million. BLP advised on a $350 million loan transaction granted to Grupo Unicomer by a pool of syndicated banks, in which several subsidiaries of Unicomer in LATAM and the Caribbean have acted as guarantors. Our legal guidance spanned the entire process, from negotiations to signing the credit agreement, and included the preparation and execution of creative local documentation, such as acknowledgments, security trusts, and promissory notes.
  • Moody’s entry into Central America. Leads advice to Moody’s oin the acquisition of SC Riesgo’s operations in Central America, involving all related aspects of the transaction.
  • AkzoNobel completes Grupo Orbis acquisition. BLP advised the seller, Grupo Orbis (Pintuco), on this regionally impactful transaction, employing attorneys from our offices in Costa Rica, Nicaragua, Honduras, El Salvador, and Guatemala, coordinating with lawyers in Panama, and conducting due diligence in the jurisdictions of Central America.
  • Sale of shares of Banco Popular, S.A. in Honduras. Banco Popular S.A. is the dominant commercial banker of microcredits in Honduras. IFC, BCIE, and Bamboo Capital Partners sold their shareholdings of Banco Popular to Triple Jump via ASN Microkredietfonds, Incofin, BIO Invest, and FMO. BLP advised sellers and buyers on the necessary regulatory approval for the sale of shares of an institution supervised by the National Banking and Insurance Commission and carried out the required economic concentration notification of the transaction’s impact.
