BLP has advised Chilean company Agrosuper and its subsidiary Empresas Aquachile S.A., the world’s second-largest salmon farmer, on the sale of Grupo ACI S.A., a leading Costa Rican company in the tilapia aquaculture industry, to Industrias Martec (one of the largest marine fish processing and mariculture companies of Central America). The sale of Grupo ACI involves the indirect transfer of three Costa Rican operating subsidiaries and one U.S. entity.
BLP structured the entire transaction at the corporate level, negotiated and drafted the share purchase agreement and ancillary documents, and advised the seller on the antitrust filing and closing procedure.
This transaction enables Empresas Aquachile to focus its business entirely on the salmon market, which has been a strategic objective of Agrosuper since it completed its acquisition of Aquachile in 2019.
